These Terms and Conditions (“Terms”) govern your access to and use of the website atdepthsolutions.co.uk (the “Website”), and your purchase or use of any personal and professional development courses, workshops, coaching, and stand-up comedy performances (together, the “Services”) provided by Alan Hayward, trading as At Depth Solutions (“we”, “us”, “our”).
By booking a course, purchasing a ticket, joining our annual membership, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
At Depth Solutions is a sole trader business owned and operated by Alan Hayward, registered in England and Wales. Contact details are provided in Section 18 below.

3. Our Services
3.1 Courses
We provide personal and professional development courses, which may be delivered:
- Online, via video call, pre-recorded content, or a learning platform; or
- In person, at a venue specified at the time of booking.
The delivery format, dates, times, and location (where applicable) will be confirmed at the point of booking. We reserve the right to move a course online, reschedule, or change venue where reasonably necessary, and we will give you as much notice as possible if this happens.
3.2 Comedy Performances
We also provide stand-up comedy performances at venues and events. Tickets for our Performances are generally sold via third-party ticketing platforms or venue box offices (e.g. Eventbrite, or the venue directly). Where this is the case, the ticketing platform’s or venue’s own terms and conditions, refund policies, and privacy policies will also apply to your purchase, in addition to these Terms. We are not responsible for the acts, omissions, technical issues, or policies of third-party ticketing providers or venues.
3.3 Content Disclaimer
Our comedy performances may include strong language, adult themes, and content intended for a mature audience. Content may not be suitable for all audiences. Age restrictions or content guidance, where applicable, will be indicated by the venue or ticketing platform. It is your responsibility to check age suitability before booking or bringing others.
4. Independent Contractors and Right of Substitution
4.1 Independent Contractors
We may, at our sole discretion, engage self-employed independent contractors and associates (“Associates”) to assist with the delivery of Courses — including general course delivery support and the facilitation of specialised meditative practice segments marketed as “ADS Embedded Meditative Practice”. Any Associate engaged by us will be suitably qualified and briefed to deliver in line with our standards.
4.2 Right of substitution
We reserve the right, at any time and without liability to you, to substitute Alan Hayward, or any other named facilitator, presenter, or practitioner, with another suitably qualified individual (whether an employee, Associate, or other self-employed contractor) to deliver all or part of a Course or Performance. This may occur, for example, due to illness, unavailability, scheduling conflicts, or operational necessity. Where reasonably practicable, we will notify you in advance of any such substitution; however, a substitution of facilitator does not entitle you to a refund or cancellation, provided the Course or Performance is delivered to a reasonably comparable standard.
4.3 ADS Embedded Meditative Practice
Where a Course includes an ADS Embedded Meditative Practice segment, this may be delivered by a specialist Associate rather than by Alan Hayward personally. Such segments are provided for general relaxation, mindfulness, and wellbeing purposes only, and do not constitute medical, psychological, psychotherapeutic, or other clinical treatment or advice (see also Section 12 — Health, Safety and Wellbeing).
4.4 The Engagement of Associates
The engagement of Associates does not reduce or otherwise affect your rights under these Terms. Associates are required to comply with the same standards of conduct, confidentiality, and safeguarding that apply to us, but each Associate acts as an independent contractor and not as our employee, partner, or agent for any purpose beyond the specific engagement.
5. Bookings and Payment
5.1 All Bookings for Courses must be made through the relevant third party link within: our Newsletter (The Explorer Times); Website; social media platforms; or by direct arrangement with us via email, and are confirmed once payment (or an agreed deposit) has been received.
5.2 Prices for Courses are as stated in the Newsletter (The Explorer Times); on our Website; on our social media platforms; or Website at the time of Booking, in pounds sterling (GBP), and are inclusive of any applicable VAT unless stated otherwise. Members receive discounted pricing on Encounters and Retreats as set out in Section 6.
5.3 We accept payment via the methods indicated in our Newsletter (The Explorer Times); Website; social media platforms; or by direct arrangement the Website at checkout. Payment must be made in full (or as otherwise agreed, e.g. instalments) before access to a Course is granted or before an in-person place is guaranteed.
5.4 Tickets for Performances are purchased through the relevant third-party platform or venue, and payment terms for those purchases are governed by that platform’s own terms.
5.5 We reserve the right to change prices for future Bookings at any time, but changes will not affect a Booking you have already confirmed and paid for.
6. Annual Membership
6.1 What Membership Includes
6.1.1 We offer an annual membership (“Membership”) for individuals who wish to receive ongoing benefits across our Encounters, Retreats, Performances, and Community offerings. Current “Explorers of Being” Membership benefits include:
- discounted fees on Encounters and Retreats;
- exclusive, membership only access to Level 6 and Level 7 Encounters and Retreats *;
- exclusive, membership only access to Level 8 Community Opportunities *;
- exclusive access to 8 per year, Member-Only, 88 Minute Group Zoom sessions or as advised at the time of membership purchase.
* All Levels 6 to 8 Encounters and Retreats / Community Opportunities require a minimum of 8 months prior “Explorers of Being Membership” + All ‘Octymetrics’ must have been completed with a minimum of 88% success prior to enrolment.
6.1.2 We may add, remove, or reasonably amend specific Membership benefits from time to time (for example, to reflect changes in our course structure). Where we make a material reduction to Membership benefits, we will give Members reasonable advance notice, and a Member may cancel in accordance with clause 6.5 if they no longer wish to continue.
6.2 Membership Fee
The Membership fee is an annual fee, payable in advance in full, at the rate published in our Newsletter (The Explorer Times), Website, social media platforms and on the Website at the time you join or renew.
6.3 Auto-Renewal
6.3.1 Your Membership will automatically renew for a further 12-month period at the end of each Membership year, at the then-current Membership fee, unless you cancel in accordance with clause 6.5 before your renewal date.
6.3.2 We will send you a reminder notice by email at least 14 days before your Membership is due to renew, confirming the renewal date and fee, so that you have a fair opportunity to cancel if you do not wish to continue.
6.4 Changes to the Membership Fee
We may change the Membership fee that applies from your next renewal onwards. Any fee change will be included in the renewal reminder described in clause 6.3.2. If you do not wish to renew at the new fee, you may cancel in accordance with clause 6.5.
6.5 Cancelling Your Membership
You may cancel your Membership, or opt out of auto-renewal, at any time by giving us written notice (for example, by email). To avoid being charged for the next Membership year, please cancel before your renewal date. Where you cancel before renewal, your existing Membership and its benefits will continue until the end of your current, already-paid Membership year.
6.6 Refunds
6.6.1 The annual Membership fee is non-refundable once paid, including where you cancel partway through a Membership year, choose not to use your benefits, or have your Membership terminated under clause 6.8, except as set out in clause 6.7 or where a refund is otherwise required by law.
6.7 Statutory Cooling-Off Period
If you are a consumer joining, or renewing, your Membership online or at a distance, you have a statutory right to cancel within 14 days of that transaction under the Consumer Contracts Regulations, and to receive a full refund, provided you have not used any Membership benefit during that 14-day period. If, at your request, you use a Membership benefit (for example, booking a discounted Encounter) within the 14- day period no refund will be given. Nothing in these Terms affects your statutory rights.
Nothing in these Terms affects your statutory rights.
6.8 Fair Use and Suspension
Membership benefits are personal to you and may not be transferred, shared, or resold, including access credentials for Member-only group Zoom sessions. We reserve the right to suspend or terminate a Membership without refund, on reasonable notice where practicable, where we reasonably believe it is being misused (for example, shared access to Member-only sessions, or fraudulent use of discounted pricing), or where the Member seriously or repeatedly breaches Section 9 (Your Responsibilities) of these Terms.
6.9 Interaction with Bookings
Membership benefits apply to Bookings made during an active Membership period. If your Membership ends, whether by cancellation, non-renewal, or suspension under clause 6.8, this does not affect Bookings you have already confirmed, but you will no longer be entitled to Member pricing or exclusive access for any new Booking made after your Membership ends.
7. Cancellations and Refunds — Courses
7.1 Cancellation by you: If you wish to cancel a confirmed Course Booking, you may request a full refund provided you notify us at least 14 days before the course start date. Requests made less than 14 days before the start date will not be eligible for a refund. This Section 7 applies to individual Course Bookings; Membership cancellations and refunds are instead governed by Section 6 and Performances cancellations are instead governed by Section 8.
7.2 If you have already started a Course (e.g. attended a session, accessed online materials, or begun a multi-part programme), refunds will generally not be available for the sessions or materials already provided, except where required by law.
7.3 Cancellation or change by us: If we need to cancel, postpone, or materially change a Course (for example, due to insufficient enrolment, illness, or unforeseen circumstances), we will notify you as soon as reasonably possible and offer you either:
- a full refund; or
- the option to transfer to an alternative date or format.
7.4 Refunds, where due, will be processed within a reasonable time (normally within 14 days) using the original payment method.
7.5 Statutory rights: If you are a consumer based in the UK and booked a Course online or at a distance, you may also have a statutory right to cancel within 14 days of Booking under the Consumer Contracts Regulations, unless the Course has already started with your agreement within that period (in which case that statutory right may not apply, or a proportionate refund may apply). Nothing in these Terms affects your statutory rights.
8. Cancellations and Refunds — Performances
8.1 Tickets for Performances purchased through a third-party platform or venue are subject to that platform’s or venue’s own refund and exchange policies. There will be no refund due once tickets for a specific performance on a specific date have been purchased: A 14-Day Cooling Off period does not apply. Please review those policies before purchasing. Please review those policies before purchasing.
8.2 If a Performance is cancelled or rescheduled by us, we will make reasonable efforts to notify ticket-holders as soon as possible, and will work with the relevant ticketing platform or venue regarding refunds or rescheduled attendance, where applicable.
8.3 We are not responsible for any travel, accommodation, or other costs you incur in connection with attending a Performance that is cancelled or rescheduled (see also Section 13 — Liability).
9. Your Responsibilities
9.1 You agree to provide accurate and complete information when making a Booking or joining our Membership.
9.2 For in-person Courses and Performances, you agree to behave respectfully towards us, our staff, Associates, other attendees, and venue personnel. We reserve the right to refuse entry, remove you from a Course or venue, or decline future Bookings, without refund, if your conduct is abusive, disruptive, threatening, or unlawful.
9.3 For online Courses and Member-only group Zoom sessions, you are responsible for ensuring you have suitable equipment, software, and internet access to participate, and for keeping any login details or access links confidential and for your own use only.
10. Intellectual Property
10.1 All course materials, presentations, slides, written content, comedy material, recordings, and other content created or provided by us or our Associates (the “Materials”) are our intellectual property, or that of our licensors, and are protected by copyright and other laws.
10.2 Booking a Course or Performance, or holding a Membership, gives you a personal, non-transferable licence to access and use the Materials for your own personal or professional development. You may not:
- copy, reproduce, distribute, resell, or publicly share the Materials without our prior written consent;
- record, livestream, or broadcast any Course session, Member-only group Zoom session, or comedy Performance without our prior written consent;
- use our comedy material, jokes, routines, or written content for any commercial purpose.
10.3 Unauthorised recording or distribution of a live comedy Performance is strictly prohibited and may result in removal from the venue and/or legal action.
11. Photography, Recording, and Publicity
11.1 We may, from time to time, photograph or record Courses and Performances for promotional and marketing purposes (for example, website content, social media, or advertising).
11.2 Where practical, we will give notice at the start of a Course or Performance that recording is taking place. By attending, you consent to the possibility of appearing incidentally in such photographs or recordings, unless you notify us in advance that you do not wish to be included, or you request removal afterward (which we will accommodate where reasonably possible).
11.3 If you would prefer not to be photographed or recorded, please let us know before the session or event begins, and we will take reasonable steps to accommodate this (for example, seating positioning for in-person events, or camera-off options for online sessions).
12. Health, Safety and Wellbeing
12.1 Our personal and professional development Courses — including any ADS Embedded Meditative Practice segment — are intended for general self-improvement, relaxation, and wellbeing purposes, and are not a substitute for professional medical, psychological, financial, or legal advice. If you have any concerns about your mental or physical health, please consult an appropriate qualified professional before participating.
12.2 You participate in Courses and attend Performances at your own risk. We will take reasonable care to ensure a safe environment at in-person events, but we are not liable for injury, loss, or damage arising from your attendance, except where caused by our negligence, or where liability cannot be excluded by law (see Section 13).
12.3 Please inform us in advance of any relevant medical conditions, access requirements, or other needs that may affect your participation, so we can make reasonable adjustments where possible.
13. Liability
13.1 Nothing in these Terms limits or excludes our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- any other liability that cannot be limited or excluded under UK law.
13.2 Travel, accommodation, and indirect losses: Subject to clause 13.1, we shall not be liable for any travel, accommodation, subsistence, or other costs or expenses incurred by you in connection with attending, or being unable to attend, a Course or Performance — including where a Course or Performance is rescheduled, postponed, relocated, or cancelled. Nor shall we be liable for any indirect, special, or consequential losses, including but not limited to loss of income, loss of business, loss of opportunity, or loss of profits, arising out of or in connection with these Terms or our Services.
13.3 Subject to clause 13.1, our total liability to you in connection with any Course, Performance, or Membership shall not exceed the total amount you paid to us in the 12 months preceding the event giving rise to the claim.
13.4 We are not liable for any acts, omissions, errors, or failures of third-party ticketing platforms, venues, or payment processors.
13.5 We are not liable for the independent acts or omissions of any Associate engaged under Section 4, save to the extent such liability arises from our own negligence in the selection, briefing, or supervision of that Associate.
14. Force Majeure
We will not be liable for any failure or delay in providing our Services caused by circumstances beyond our reasonable control, including but not limited to illness, extreme weather, venue unavailability, power or internet outages, industrial action, or government restrictions. Where reasonably possible, we will notify you and work with you to reschedule or provide an alternative.
15. Data Protection and Privacy
15.1 We collect and use personal information (such as your name, email address, and payment details) in order to process Bookings and Memberships, deliver our Services, and — where you have agreed — to send you marketing communications (such as newsletters or updates about upcoming Courses and Performances).
15.2 You can opt out of marketing communications at any time by using the unsubscribe link in our emails or contacting us directly.
15.3 We handle personal data in accordance with UK data protection law, including the UK GDPR and the Data Protection Act 2018. Full details of how we collect, use, store, and protect your data are set out in our separate Privacy Policy, available on the Website.
16. Changes to These Terms
We may update these Terms from time to time, for example to reflect changes in our Services or the law. The updated version will be posted on the Website with a revised “last updated” date. Continued use of our Services after changes are posted constitutes acceptance of the updated Terms. For Bookings already confirmed, or a Membership already paid for, the Terms in place at the time of Booking or payment will continue to apply until your next renewal.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of our Services will be subject to the exclusive jurisdiction of the courts of England and Wales, save that if you are a consumer resident elsewhere in the UK, you may also be entitled to bring proceedings in your local courts.
